1. Acceptance of Terms
By accessing or using the Megabizus LLC website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, and others who access or use the service.
2. Services Description
Megabizus LLC provides AI automation engineering, software development, consulting, and related intelligence services for businesses. The specific services, deliverables, timelines, and pricing for each engagement are defined in individual project agreements and statements of work.
3. Client Responsibilities
Clients are responsible for providing accurate information, timely feedback, and access to necessary systems and documentation. Clients must ensure they have the legal right to use and share any data, systems, or third-party software included in the project scope. Clients are responsible for maintaining the security of account credentials.
4. Intellectual Property
Unless otherwise specified in a project agreement, all custom code, systems, and deliverables created for a client become the property of that client upon full payment. Megabizus retains the right to reuse general methodologies, frameworks, and non-client-specific code in other projects. Pre-existing IP of either party remains their property.
5. Confidentiality
We treat all client information as strictly confidential. We will not disclose your proprietary business information to third parties without your consent. We are willing to sign NDAs prior to detailed project discussions. This obligation survives the termination of any agreement.
6. Payment Terms
Payment terms are specified in individual project agreements. Generally, projects require a deposit before work begins, with remaining payments due at defined milestones. Late payments may incur interest. We reserve the right to suspend work on outstanding balances.
7. Limitation of Liability
Megabizus LLC's total liability to any client shall not exceed the total fees paid for the specific project giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages. We provide no warranties on third-party services, APIs, or AI model outputs.
8. Indemnification
You agree to indemnify and hold Megabizus LLC harmless from any claims, damages, or expenses arising from your use of our services, your breach of these terms, or your violation of any third-party rights.
9. Termination
Either party may terminate a project engagement with written notice as specified in the project agreement. Upon termination, client shall pay for all work completed to date. Megabizus will deliver all completed work product upon receipt of final payment.
10. Governing Law
These terms are governed by the laws of the State of Texas. Any disputes shall be resolved through binding arbitration in Houston, Texas, except where either party seeks injunctive relief.
11. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the new terms.
